Last Updated: March 23, 2026 These Terms & Conditions (“Terms”, “Terms of Use”, “Terms of Service”) govern your access to and use of the Synapse Sprints website, mobile applications, and other services (collectively, the “Platform”) offered by Synapse Circle Private Limited (“we”, “us”, “our”, or the “Company”). By accessing or using our Platform, you (“you”, “your”, “User”, “Subscriber”) agree to these Terms. If you do not agree to these Terms, you should not use the Platform. We reserve the right to modify or amend these Terms at any time (see Section “Changes to Terms”). Your continued use of the Platform after changes will constitute acceptance of the revised Terms. 1. Definitions, Interpretation & Scope Platform / Services The website(s), web portal(s), mobile / tablet apps, APIs, modules, tools, content, features, and services provided by Synapse Sprints under this agreement. User / You / Your Any natural person or legal entity who accesses, browses, or uses the Platform, including Registered Users and Subscribers. Registered User A user who has registered an account on the Platform (but may not have access to premium / paid features). Subscriber / Subscribed User A user who has purchased / subscribed to one or more paid plans / services on the Platform and has access to those paid features, subject to compliance with these Terms. Content / Study Materials All educational materials, videos, notes, question banks, quizzes, exercises, test series, documents, and related content made available on the Platform. Intellectual Property Rights All copyrights, trademarks, patents, trade secrets, software, data rights, and other proprietary rights pertaining to the content, Platform, and technology. Third-Party Services / Providers External vendors, partners, or platforms (e.g. payment gateways, analytics providers) engaged by us to help deliver the Platform or Services. KYC / Verification Data Identity documents or proofs (e.g. government ID, passport, address proof) that we may require to verify your identity in connection with subscription or access. 2. Acceptance of Terms & Eligibility Agreement By using, accessing, or registering on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines posted on the Platform (each of which is incorporated by reference). Eligibility / Age You must be legally competent to enter into contracts under the laws of your jurisdiction. If you are a minor under the applicable legal age, you must use the Platform with consent of your parent or guardian, and your parent/guardian must agree to these Terms on your behalf. Accurate Information You agree to provide accurate, current, and complete information during registration and subscription. You also agree to maintain and promptly update that information (including your contact details) as needed. We may suspend or terminate your account if we reasonably believe your information is false, incomplete, or outdated. 3. Account, Password, Security, & Verification Account Creation To access certain features of the Platform (especially paid content), you must create an account by providing a valid email address, phone number, password, and any other information required. Credentials You are responsible for maintaining the confidentiality of your login credentials, and for any activity conducted via your account. You must notify us immediately upon suspicion or knowledge of any unauthorized use of your account. Verification / KYC To access certain paid plans or services, we may require you to submit identity or address proofs (KYC / verification data). We will process, store, and safeguard those documents in accordance with applicable law and our Privacy Policy. Single User, Non-transferability Unless explicitly authorized by us, your subscription rights are personal to you and cannot be shared, transferred, sublicensed, or resold. Sharing credentials or account access may result in suspension or termination of your account. 4. Services, Subscriptions & Content Access Free vs Paid Content Some content on the Platform may be accessible free of cost (“demo” or “free content”), while full access requires subscription to one or more paid plans. Subscription Plans We will publish details (pricing, duration, features) of various subscription plans. You choose a plan and make payment as per the payment terms (see Section “Payments”). Access Scope & Limitations Your access to content, video lectures, notes, quizzes, test series, etc., depends on your subscription plan. We may restrict or limit certain content or features depending on your plan or the current edition/version of the course. Modifications, Upgrades & Revisions We reserve the right to change, enhance, expand, remove, or revise content or features at our discretion. We may update editions, revise content, or adjust course structures over time. These changes may affect what you have access to. Suspension / Termination for Breach We may suspend or terminate your access (temporarily or permanently) to the Platform or your subscription, with or without notice, if you breach these Terms, misuse content, share your account, engage in prohibited behaviors, or otherwise act in a manner inconsistent with these Terms. 5. Payments, Refunds & Fees Payment Processing All subscription payments must be made via the payment gateways we support. We may not be liable for failures or errors at the third-party payment provider or bank. Taxes & Charges Subscription amounts may include applicable taxes (e.g. GST, VAT) and any delivery or shipping charges (if physical materials are part of the plan). These will be clearly stated before you complete the purchase. Correct Pricing If a technical error displays an incorrect price, we reserve the right to correct it and seek additional payment from you (or cancel the order). Non-Refundable / Cancellation Policy Unless required by applicable law or expressly stated otherwise, subscriptions once purchased are non-refundable. You may cancel or discontinue, but we are under no obligation to refund. We may, at our discretion, issue partial or full refunds under exceptional circumstances. Late or Non-Payment If payment is not made or cleared by the due date, we may suspend or withhold access to the services until payment is resolved. 6. User Conduct & Prohibited Activities You agree that you will not: Use the Platform for illegal or unauthorized purposes or in violation of applicable law. Copy, reproduce, distribute, publish, modify, create derivative works of, or publicly display any content on the Platform, except as expressly permitted under these Terms. Reverse engineer, decompile, disassemble or attempt to derive source code or underlying technologies of the Platform. Share your account credentials or otherwise allow multiple users to use the Platform under your subscription, unless we explicitly allow that. Upload or transmit viruses, malware, or any code that disrupts or interferes with the Platform or its services. Harass, abuse, threaten, or defame any users, instructors, or third parties in any manner. Violate intellectual property or privacy rights of others, including posting or sharing content you do not have rights to. Attempt to circumvent any security mechanism, digital rights management, or usage controls. Use any automated means (e.g. bots, scrapers) to access, collect, or harvest data or content from the Platform without our explicit consent. Use the Platform in a way that imposes an unreasonable or disproportionate load on infrastructure. We reserve the right to investigate and take legal action against any user who violates these rules. 7. Intellectual Property Rights & Licenses Ownership The Platform, all content and materials (including software, design, text, images, video, audio, trademarks) are owned by or licensed to us. All rights not expressly granted herein are reserved. Limited License We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and content for your personal, non-commercial educational use, in accordance with these Terms. User Feedback / Submissions If you provide feedback, suggestions, or submissions (e.g. comments, forum posts), you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, modify, publish, and distribute such feedback or submissions for any purpose. Copyright & DMCA / Takedown We respect intellectual property rights. If you believe your copyrighted work has been used without authorization, you may send us a valid takedown notice (as per applicable law). We will respond in accordance with relevant statutes. 8. Disclaimers, Warranties & Limitation of Liability “As Is” / No Warranty The Platform and services are provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaims all warranties, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted access. No Guarantees / Outcomes We do not guarantee any particular results, scores, ranks, employment outcomes, or success from use of the Platform. Past performance or testimonials are not necessarily indicative of future results. Limitation of Liability To the maximum extent permitted under applicable law, in no event will our aggregate liability to you or any third party exceed the total subscription amount you have paid us (if any) during the relevant period. We will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or loss of data. Third-Party Links & Content The Platform may contain links to third-party websites or content. We do not endorse or control those and are not responsible for their content, practices or services. Your access and use of those are at your own risk. Force Majeure We will not be liable for delays or failure of performance due to causes beyond our reasonable control (e.g. acts of nature, government restrictions, network outages, hacking, strikes). 9. Modification of Platform & Terms Changes to Platform / Services We may add, remove, suspend, or discontinue features, content, or services (in whole or in part) at any time, with or without notice, and without liability to you. Changes to Terms We may revise or amend these Terms periodically. The “Last Updated” date will reflect changes. If material changes are made, we may notify you (e.g. via email or in-app notification). Continued use after changes constitutes acceptance. 10. Account Termination, Suspension & Effects Termination by You You may terminate your subscription or stop using the Platform by following cancellation procedures. Termination does not relieve you of outstanding payment obligations. Termination / Suspension by Us We may suspend or terminate your access at any time, for any or no reason, particularly in the event of breach of these Terms. We may also block access permanently. We will not be liable to you for such termination. Effects of Termination On termination, your right to use the Platform ceases immediately. We may delete or anonymize your account and associated content, subject to retention obligations. Some information (e.g. public comments) may persist in anonymized form. Survival Sections of these Terms that by their nature survive termination (such as Intellectual Property, Indemnification, Limitation of Liability, Disclaimers) will continue to apply. 11. Indemnification You agree to defend, indemnify, and hold harmless Synapse Sprints, its affiliates, employees, officers, directors, agents, and licensors from and against all claims, liabilities, damages, losses, or expenses (including legal fees) arising from: Your use of the Platform or services; Your breach of these Terms, including any representations or warranties; Your violation of any rights of a third party (e.g. intellectual property, privacy rights); Your content or submissions to the Platform; Any other actions taken by us to enforce or defend our rights under these Terms. 12. Governing Law, Dispute Resolution & Jurisdiction Governing Law These Terms shall be governed by and construed in accordance with the laws of India. Jurisdiction & Venue Subject to any arbitration clause, you agree that disputes may be brought only in the courts located in Chennai, Tamil Nadu, India, and you submit to the exclusive jurisdiction of such courts. 13. Such communications satisfy any legal requirements that notices be in writing. Grievances / Complaints If you have a complaint or grievance regarding the Platform or any aspect of these Terms, send a description in writing to our designated support or grievance officer. We will endeavor to respond promptly in accordance with applicable law. 14. Miscellaneous Provisions Severability If any provision of these Terms is held invalid or unenforceable by a court, the remainder of the Terms shall continue in full force. Waiver Our failure to enforce any right or provision does not constitute a waiver of that right. No waiver shall be effective unless in writing and signed by an authorized representative. Assignment You may not assign or transfer your rights or obligations under these Terms, except with our prior written consent. We may freely assign or transfer these Terms or our rights. Entire Agreement These Terms (together with the Privacy Policy, subscription details, and any additional policies posted on the Platform) constitute the entire agreement between you and us regarding your use of the Platform, superseding all prior or contemporaneous agreements. Survival Provisions which by their nature should survive termination (e.g. warranties disclaimers, liability limitations, indemnification, intellectual property) shall survive.
